  1. Every corporation shall maintain in this State a registered agent, which can be\n
      \n
    1. the corporation itself;<\/li>\n
    2. an individual resident of Delaware;<\/li>\n
    3. a domestic \u201centity\u201d (corporation, general or limited partnership, LLC, or statutory trust); or<\/li>\n
    4. a foreign registered entity.<\/li>\n<\/ol>\n<\/li>\n
    5. Every registered agent shall\n
        \n
      1. \n
          \n
        • if an entity, maintain a business office in Delaware which is generally open, or<\/li>\n
        • if an individual, be generally present at a designated location in Delaware,at sufficiently frequent times to perform the functions of a registered agent, in particular to accept service of process;<\/li>\n<\/ul>\n<\/li>\n
        • if a foreign entity, be authorized to transact business in Delaware;<\/li>\n
        • accept and forward service of process and other communications to its corporations;<\/li>\n
        • forward to its corporations the annual franchise tax report required by \u00a7502 or an electronic notification of same in a form satisfactory to the Secretary of State.<\/li>\n<\/ol>\n<\/li>\n
        • Any registered agent who at any time serves as registered agent for more than 50 entities (a \u201ccommercial registered agent\u201d) shall satisfy and comply with the following qualifications: \u2026<\/li>\n
        • Every corporation shall provide to its registered agent, and the registered agent shall retain, the name, business address, and business telephone number of a natural person who is then deemed the communications contact and authorized to receive communications from the registered agent. The corporation shall update this information as necessary. If the corporation fails to provide a current communications contact, the registered agent may resign pursuant to \u00a7136.<\/li>\n
        • The Secretary is authorized to issue such rules and regulations as may be necessary or appropriate to carry out the enforcement of subsections (b), (c) and (d), and to take actions reasonable and necessary to assure registered agents\u2019 compliance with these subsections. Such actions may include refusal to file documents submitted by a registered agent.<\/li>\n
        • Upon application of the Secretary, the Court of Chancery may enjoin any person or entity from serving as a registered agent or as an officer, director or managing agent of a registered agent. \u2026<\/li>\n
        • The Secretary is authorized to make a list of registered agents available to the public, and to establish such qualifications and issue such rules and regulations with respect to such listing as the Secretary deems necessary or appropriate.<\/li>\n
        • In any document or statute, unless the context requires otherwise, the term \u201cresident agent\u201d or \u201cresident agent in charge of a corporation\u2019s principal office or place of business in this State,\u201d or other term of like import, shall be deemed to mean, the corporation\u2019s registered agent.<\/li>\n<\/ol>\n","protected":false},"excerpt":{"rendered":"
