Restrictions on transfer and ownership of securities."},"content":{"rendered":"<p>A restriction on the transfer of securities of a corporation, or on the amount of a corporation\u2019s securities that may be owned by any person or group, is \u2026<\/p>\n<ol style=\"list-style-type: lower-alpha;\">\n<li> \u2026 enforceable against\n<ul>\n<li>a person with actual knowledge of the restriction, and<\/li>\n<li><em>anybody <\/em>if the restriction is noted conspicuously on the certificate(s) representing the restricted securities or, in the case of uncertificated shares, contained in the notice(s) given pursuant to \u00a7 151(f).<\/li>\n<\/ul>\n<\/li>\n<li>\u00a0 \u2026 <strong>imposable by<\/strong> the charter, the bylaws, or an agreement among any number of security holders or among such holders and the corporation.
