Pledged stock is represented and voted by the pledgor, unless the pledgor has expressly empowered the pledgee in the transfer on the books of the corporation.<\/li>\n<li> <strong>[multiple record owners or fiduciaries]<\/strong> \u201cIf shares or other voting securities stand of record in the names of multiple\u00a0persons \u2026,<a href=\"#_ftn1\" name=\"_ftnref1\">[1]<\/a> or if multiple\u00a0persons have the same fiduciary relationship respecting the same shares, their votes will be counted as provided in the instrument or order granting such powers if it is furnished to the secretary of the corporation.<a href=\"#_ftn2\" name=\"_ftnref2\">[2]<\/a> Otherwise, (1)\/(2) the\u00a0vote\u00a0of the majority binds all;\n<p>but (3) \u00a0if the\u00a0vote is evenly split, it is counted proportionally\u00a0unless\u00a0the Court of Chancery or other court with\u00a0jurisdiction appoints a tie-breaker upon application by one of the voting\u00a0persons or by\u00a0a beneficiary, if any.<\/li>\n<\/ol>\n<p><a href=\"#_ftnref1\" name=\"_ftn1\">[1]<\/a> Examples include fiduciaries, members of a partnership, joint tenants, tenants in common, and tenants by the entirety.<\/p>\n<p><a href=\"#_ftnref2\" name=\"_ftn2\">[2]<\/a> In particular, tenants have voting rights proportional to their interests.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>\u00a0 [fiduciaries; pledgors] Persons holding stock in a fiduciary capacity are entitled to vote these shares.
