This simplified version of the Delaware General Corporation Law uses the following shorthand:<\/p>\n

Division of Corporations<\/dt>\n
“Division of Corporations in the Department of State”<\/dd>\n
qualified foreign corporation<\/dt>\n
“foreign corporation qualified to do business in the State of Delaware” (cf. \u00a7 371)<\/dd>\n
shares, stock<\/dt>\n
“shares of stock”<\/dd>\n<\/dl>\n

Additional shorthand relevant only to an individual section or the subsequent section is defined in those sections. The shorthand is placed in parentheses and quotation marks after the first appearance of the longer, original expression. Sections using additional shorthand include \u00a7\u00a7 151, 157, 167\/168, 203, 215, 216, 220, 222, 229\/230, 245, 251, and 253.<\/p>\n

The statute itself defines, inter alia, \u201cfiling<\/strong>\u201d and \u201cfiling date<\/strong>\u201d (\u00a7 103), \u201cprincipal office<\/strong>\u201d (\u00a7 131(b)), and \u201celectronic transmission<\/strong>\u201d (\u00a7 232(c)).<\/p>\n
