The registered agent may resign and appoint a successor by filing a certificate to this effect in accordance with § 102(a)(2) and § 103 (a) – (c). There shall be attached to such certificate a statement of each affected corporation approving such change, executed and acknowledged in accordance with § 103. Upon such filing, the appointed successor and its registered address shall become the registered agent and registered office in Delaware, respectively, of such corporations as have ratified and approved such substitution.
